Tax Town Accounting Services
Effective Date: January 1 2025
1. Introduction
These Terms and Conditions ("Terms") govern the provision of tax preparation and related services ("Services") by Tax Town Accounting Services ("we," "us," or "our") to you, the client ("you" or "your"). By engaging our Services, you agree to be bound by these Terms.
2. Scope of Services
Tax Preparation: We will prepare and file your income tax returns (federal and provincial) and related forms as agreed upon in writing. This may include:
Personal Income Tax Returns (T1)
Corporate Income Tax Returns (T2)
New Housing Rebates
GST/HST Returns
Payroll Services
WSIB Services
Rental Income Tax Returns
Self-Employment Tax Returns
Bookkeeping: We may provide bookkeeping services, including:
Recording financial transactions
Reconciling bank accounts
Preparing financial statements
Tax Planning (if applicable): We may provide basic tax planning advice, such as identifying potential deductions or credits. However, we are not financial advisors and this advice should not be considered comprehensive or a substitute for professional financial guidance.
Electronic Filing: We may electronically file your tax returns with the Canada Revenue Agency (CRA) and relevant provincial tax authorities.
3. Client Responsibilities
Provide Accurate Information: You are solely responsible for providing us with complete and accurate information regarding your income, deductions, credits, and any other relevant tax matters.
Maintain Records: You are responsible for maintaining all supporting documentation related to your tax returns and financial transactions, including receipts, pay stubs, investment statements, and bank records.
Respond to Inquiries: You must promptly respond to any requests for information or clarification from us or the tax authorities.
Review and Sign: You are responsible for reviewing, correcting any error, omission and signing your tax returns and any other documents before they are filed or submitted.
Access and Security: You are responsible for maintaining the confidentiality of any passwords or login credentials provided by us.
4. Fees and Payment
Fees: Our fees for Services are posted in advance of services performed (e.g., engagement letter, fee schedule). Fees may be based on a flat rate, a posted range, hourly rate, per transaction basis, or a combination of these.
Payment Terms: Payment is due upon receipt of our invoice. We may offer payment plans with prior written agreement.
Late Payments: Late payments may be subject to interest charges at 2% per month or as permitted by law.
5. Confidentiality
We will maintain the confidentiality of your personal and financial information in accordance with applicable privacy laws and professional standards. However, we may be required to disclose information to the tax authorities or other authorized parties as required by law.
6. Limitation of Liability
Disclaimer of Warranties: We do not warrant the accuracy or completeness of any information provided by third parties.
Limitation of Liability: Our liability for any damages arising from our Services shall be limited to the fees paid by you for such Services. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or business interruptions. Further any increased tax payable is solely your responsibility.
Indemnification: You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your failure to provide accurate information, your unauthorized use of our Services, or your violation of these Terms.
7. Termination
We may terminate this agreement at any time upon reasonable notice to you. You may terminate this agreement at any time upon written notice to us.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
9. Dispute Resolution
Any disputes arising from or relating to these Terms shall be attempted to be resolved through good faith negotiations. If the parties are unable to resolve the dispute within 30 days of written notice, either party may initiate legal proceedings in the courts of competent jurisdiction in the Province of Ontario.
10. Amendments
We may amend these Terms from time to time. We will provide you with reasonable notice of any changes. Your continued use of our Services following the posting of any changes to these Terms will constitute your acceptance of such changes.
11. Entire Agreement
These Terms constitute the entire agreement between you and us with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, and understandings, whether oral or written.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
